Contract Advisory
FIDIC-Based Subcontract Review, Penang Industrial Project
Challenge
A mechanical subcontractor was asked to execute a FIDIC-based subcontract with non-standard amendments inserted by the main contractor. The client was uncertain about the risk implications of several modified clauses.
How We Helped
We reviewed the contract against the standard FIDIC structure, mapped all deviations, and prepared a risk commentary noting five clauses that materially altered the subcontractor's rights — including a back-to-back payment term and a unilateral variation instruction clause.
Outcome
The client negotiated amendments to three of the five clauses before signing. A revised performance bond provision brought the contract closer to the FIDIC standard position. Engagement completed within nine days.
CIPAA Adjudication
Unpaid Progress Claims, Residential Development in Selangor
Challenge
A civil works subcontractor had three unpaid progress certificates totalling over RM 380,000. The developer was withholding payment pending disputed variations, which had not been formally rejected under the contract.
How We Helped
We conducted a payment-chain analysis, assessed the merit of the withheld amounts, and prepared a CIPAA payment claim with supporting measurement records. We also addressed the developer's anticipated variation response within the claim bundle.
Outcome
The adjudicator awarded RM 342,000 of the claimed amount. The developer did not apply to stay enforcement. Payment was received within the statutory period following the decision.
Dispute Resolution
Delay and Termination Dispute, Infrastructure Project in Perak
Challenge
A main contractor faced a termination notice after the project experienced a 14-month delay. The employer attributed the delay entirely to the contractor. The contractor held that concurrent delays from employer-instructed variations had contributed materially to the programme overrun.
How We Helped
We engaged a delay analyst to prepare a baseline programme review, prepared a claims strategy document identifying the concurrent delay windows, and led direct negotiations with the employer's solicitors. We also advised on the contractor's right to respond to the termination notice within the contract's cure period.
Outcome
Negotiations led to a settlement acknowledging partial employer responsibility for delays. The termination notice was withdrawn. A revised programme was agreed, and the contract continued to practical completion.
